Bartosz Dębski is a legal advisor entered on the list of the District Chamber of Legal Advisors in Warsaw and a graduate of the Faculty of Law and Administration at the University of Lodz. He also studied law at the University of Nijmegen in the Netherlands and completed postgraduate studies in the field of legal and economic conditions of the construction process at the Warsaw School of Economics.
Bartosz began his professional career in the Warsaw office of the British law firm CMS Cameron McKenna in 2001, where he worked for nearly 3 years. Then, for over 13 years, he worked for the Scandinavian law firm Magnusson, where he focused on providing services to Scandinavian companies and real estate consultancy. In 2017, he joined the Łódź law firm Cieślak Klimkowski to develop the real estate and corporate law practice in Łódź and Warsaw. In 2023, together with legal adviser Dorota Furmańska-Radomska, he founded the law firm Dębski Furmańska Radomska with offices in Warsaw and Łódź.
Bartosz Dębski specializes in providing services to companies from the real estate industry and advising foreign companies investing in Poland.
During his professional career, Bartosz has provided legal services to domestic and international companies in a wide range of matters related to real estate investments. Bartosz has extensive experience in the field of legal due diligence of all types of commercial real estate, preparation and negotiation of real estate purchase and sale agreements, design and construction works agreements and other agreements related to development of the real estate projects.
Bartosz has negotiated dozens of lease agreements for office, warehouse, production and residential premises, as well as several dozen long-term land lease agreements for development of photovoltaic and wind farms. During his career, he has also supported investors in obtaining, amending and transferring all decisions and permits related to various types of real estate projects. He has gained significant experience with conducting court and administrative proceedings related to real estate, including for example cases regarding the legalization of unauthorized construction, challenging decisions on the building permit, determination of the planning fee resulting from increase in the value of the property as a result of adoption of the zoning plan, compensation for damage caused by adoption of the zoning plan, compensation for location of railway investments and other public purpose investments.
Bartosz also advises clients on corporate matters, commercial contracts as well as court and administrative proceedings. In recent years, Bartosz has been involved in conducting dozens of court proceedings and negotiations of out-of-court settlements for his foreign clients in cases with a total value exceeding several dozen million zlotys.
Due to his long-term cooperation with foreign clients and law firms, Bartosz supports foreign companies in setting up and running their business in Poland. For many years, he has been working particularly closely with the Danish Embassy in Poland and with lawyers from Denmark, which is why he is involved in advising Danish companies investing in Poland.
His recent notable cases include, among others:
- supporting one of the largest textile producers in Łódź in due diligence and acquisition of real estate from the Łódź Special Economic Zone, as well as assistance in the preparation and negotiation of contracts for design works and contracts for construction works in connection with the construction of a factory in the vicinity of Pabianice between 2021 and 2023;
- supporting property owners in proceedings related to restrictions on the right to develop properties due to construction of the Polish Central Communication Port project including development of a new central Polish airport and railway lines between Warsaw and Łódź;
- assisting developer of the residential project in preparation and negotiation of the agreement concerning construction of a public road for the City of Warsaw in 2023;
- legal due diligence two properties in Łódź in connection with the planned acquisition of properties for the construction of production plants in 2023;
- conducting proceedings for compensation for the location of a railway line (tunnel) on behalf of owners of real estate located in the center of Łódź in the years 2018-2023;
- legal support in negotiating and concluding contracts related to the design and construction of an apartment building in Białka Tatrzańska in the years 2021-2023;
- legal due diligence of several developed and undeveloped properties in Warsaw, Katowice, Konstancin-Jeziorna, Masuria on behalf of a developer of residential projects, in the years 2020 – 2023;
- legal due diligence of several developed and undeveloped properties in Warsaw, Poznań, Gdańsk and Raszyn, on behalf of a developer of residential projects and PRS projects, in the years 2019 – 2023;
- legal due diligence of several properties in Zakopane, Kościelisko and in the vicinity of Białka Tatrzańska, as well as supporting a developer of aparthotels in the process of purchasing these properties in the years 2021 – 2023;
- legal due diligence of a hotel complex in the Podkarpackie Voivodeship worth several hundred million zlotys and assistance in negotiating agreements related to the planned acquisition of this facility by an entity with Polish and English capital, in the years 2021-2022;
- conducting proceedings related to the reduction of the planning fee imposed in connection with adoption of the zooming plan and subsequent sale of real estate by the client in the years 2021-2023;
- preparing and negotiating contracts for the sale of a complex of post-industrial buildings in order to develop residential development in the center of Zduńska Wola in 2021;
- legal due diligence and assistance in negotiating agreements related to the acquisition of a production plant in Kostrzyn nad Odrą to an entity with Austrian capital in 2022;
- legal examination of real estate on the outskirts of Łódź in connection with the planned acquisition of real estate by a well-known razor manufacturer in order to build another production plant in 2021;
- preparing and negotiating joint investment and shareholders agreement for several development projects in Warsaw, Gdańsk and Zakopane;
- legal examination of the shopping centre in Gorlice in 2021, in connection with its planned sale to an entity with foreign capital;
- legal due diligence and assistance in negotiating agreements related to the acquisition of a production plant in Częstochowa for an entity with Japanese capital in 2021;
- legal due diligence and assistance in negotiating contracts related to the lease of a production plant in Lublin to an entity with American capital in 2021;
- conducting proceedings on behalf of the hotel owner to obtain compensation for damage related to the adoption of the local zoning plan for a part of the area of the centre of Łódź in the years 2020-2021;
- legal review of several logistics and warehouse parks in the vicinity of Warsaw, Gdańsk, Wrocław and Zielona Góra, carried out by one of the largest developers of this type of facilities in 2018-2020, at the request of an international law firm in connection with the refinancing of these investments and their sale;
- legal assistance for the developer of photovoltaic farms in obtaining, amending, extending the validity periods and transferring environmental decisions, decisions on development conditions and decisions on building permits, in the years 2020-2022;
- legal examination of the biogas power plant project and preparation of agreements for the acquisition of the company that owns the project, together with the real estate necessary for the implementation of the project, in the years 2021 – 2022;
- support for the developer of photovoltaic farms in auctions for the sale of electricity from renewable energy sources by the Energy Regulatory Office in 2020-2022;
- participation in the negotiation and sale of two photovoltaic farm projects under development in the Lubuskie and Dolnośląskie voivodeships with a capacity of 40 MW and 88 MW on behalf of a developer of photovoltaic farms;
- legal review of real estate and preparation of lease and purchase agreements for real estate for the needs of the implementation of several photovoltaic farms with a capacity of 30 MW to over 100 MW, throughout Poland, at the request of a developer of photovoltaic farms in the years 2020 – 2022;
- participation in the legal audit of the tallest office building in Warsaw in 2020, commissioned by an international law firm;
- legal due diligence of three shopping malls in Łódź, Gdańsk and Piła in 2019-2020, commissioned by an international law firm;
- legal due diligence of a multi-functional project, implemented on Wyspa Spichrzów Island in the center of Gdańsk, commissioned by an international law firm in 2019;
- advising a tenant on the lease of over 11,000 square meters of warehouse space in Rzgów from Metro Group in 2019;
- legal due diligence of five wind farm projects with a capacity of 30 MW to 58 MW each, on behalf of the buyer in the years 2018 to 2020, commissioned by an international law firm;
- legal review of three large residential projects implemented by a well-known foreign developer in Warsaw in 2018, in connection with the refinancing of investments commissioned by an international law firm;
- legal due diligence of an office park in Warsaw, carried out by one of the largest Polish office and residential developers, in connection with the refinancing of the investment commissioned by an international law firm in 2018;
- advising a landlord on the lease of over 15,000 square meters of office space in Business Garden Wrocław for a bank – the largest lease agreement concluded in Poland in the first half of 2017;
- advising a tenant on the lease of over 25,000 square meters of warehouse and production space in 2016;
- advising the seller on the sale of the Nova Praga office building in Warsaw in 2016;
- advising the seller on the sale of the Libra and Jasna office buildings in Warsaw in 2014;
- advising a Chinese subcontractor on negotiating a contract for construction works concerning the construction of a new block of the Jaworzno power plant for the gross amount exceeding PLN 5 billion in 2013;
- preparation of merger notifications to the Office of Competition and Consumer Protection regarding significant real estate transactions, such as the acquisition of the Empark complex by an Austrian developer in 2015 and the acquisition of BPH’s real estate portfolio by an investment fund in 2017.
